Contracts and IPR Audits
Idappcom's audit team has over 12 years' experience of working with major software vendors. They carry out independent checks on contracts and license agreements.
The team is usually tasked by the software vendor; there is no audit cost for the licensee.
What is a "Contract/License Audit"?
Software license audits are a fact of life. Whether vendors specify their right to conduct one in license contracts or not, there is an international right to protect IPR, of which Copyright is just one element.
Ultimately, companies should make sure they understand how the restrictions in their software contracts affect the product's entire lifespan, from procurement to production to retirement.
Our approach is non-confrontational so that all parties in the process benefit. We take great care to maintain high levels of trust and build stronger relationships. We review contracts and licenses to establish obligations and then ensure that all parties are aware of any areas that need clarification.
Our experience shows that the common factor that creates a need for review and correction is elapsed time. Many contracts and licenses have been in existence for many years and over time the organizations involved have changed as has the usage of the licenses.
Apart from changes over time, the initial agreement is made where people just focus on price. People forget that buying software licenses is a business decision, not just a technology decision.
The Audit process
Our audit team works with the licensor's and the licensee's internal audit team to augment and provide visibility over the audit process as well as the contract/license. We review the licensees' contractual obligations and ensure that all parties are aware of the conditions and obligations that may have changed over time.
Idappcom audit teams will work through the contracts and associated records in an effort to build a complete database of all clients, partners and clients of partners. We then contact each licensee, via the licensor, to establish proper lines of communication. An auditor is assigned to each contract or group of contracts and it is they who will be establishing both the eligibility and the compliance.
We do not negotiate any non-compliance
Our experience says that of those we have audited only a very small percentage are found to be non-compliant. Of those found to be non-compliant, the licensor works collaboratively to help bring licensors back into compliance.
